The build contract checklist

Before signing, every box.

  1. Price structure chosen deliberately

    Fixed price per milestone (scoped build) or T&M with a monthly ceiling and named deliverable (exploratory) — never open-ended.

  2. Milestones tied to clickable demos you accept

    Not invoices, hours, or dates.

  3. One written acceptance sentence per milestone

    Agreed before the milestone starts.

  4. Payment

    Small mobilization · majority on accepted milestones · final tranche on paid handover.

  5. IP assignment milestone by milestone

    On payment of each — never only on final payment.

  6. Paid handover as line-item deliverables

    Keys, repository, credentials, documentation, recorded walkthrough.

  7. Stop-loss

    Either party exits at a milestone boundary; paid-milestone IP is yours; handover survives termination; unearned prepayment returns.

  8. Change requests

    Written, priced, and approved before work starts.

  9. Warranty window for accepted work

    In weeks, agreed up front.

  10. Maintenance as a separate agreement

    Never assumed — reviewed by someone who doesn't profit from it.

  11. Split Rule honored

    Whoever diagnosed and scoped the build is not on this contract.

The Split Rule is the closest thing the book has to a commandment: never let the same party diagnose and prescribe. Diagnosis is always purchased separately from the build. The test, every time: whose income grows when the scope grows?
